These Terms of Service ("Terms") constitute a legally binding agreement between you and SocialStar ("Company," "we," "us," or "our") concerning your access to and use of the SocialStar platform, including our website, applications, and related services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
IMPORTANT: These Terms contain an arbitration clause and class action waiver that affects your rights. Please read Section 16 carefully.
2. Eligibility
To use SocialStar, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable laws
- Provide accurate and complete registration information
By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account

4. Social Media Account Connections
4.1 Authorization
By connecting your social media accounts (Facebook, Instagram, Twitter/X, TikTok, YouTube, LinkedIn) to SocialStar, you:
- Grant us permission to access your account data as specified during the OAuth authorization process
- Authorize us to retrieve posts, metrics, insights, and analytics data from your connected accounts
- Permit us to publish content on your behalf when you schedule posts through our Service
- Acknowledge that we will store and process this data as described in our Privacy Policy
4.2 Platform Compliance
You agree to comply with the terms of service, API usage policies, and community guidelines of all connected social media platforms. You are responsible for ensuring you have the necessary rights and permissions for any content you post or analyze through our Service.
4.3 Disconnection
You may disconnect any social media account at any time from your dashboard. Upon disconnection, we will cease collecting new data from that platform, though previously collected data may be retained according to our Privacy Policy.
5. Acceptable Use
5.1 Permitted Uses
You may use the Service for lawful business purposes, including:
- Analyzing your social media performance and engagement
- Scheduling and publishing content to your social media accounts
- Generating reports and insights from your social media data
- Using AI-powered features for content suggestions and optimization
5.2 Prohibited Uses
You agree NOT to:
- Violate any laws, regulations, or third-party rights
- Post or share illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable content
- Engage in spam, phishing, or other deceptive practices
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers
- Use automated systems (bots, scrapers) to access the Service without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or modify any proprietary notices or labels
- Use the Service to compete with us or create a similar service
- Resell or redistribute the Service without our written permission
- Collect or harvest data from other users without their consent
- Impersonate any person or entity or misrepresent your affiliation
6. Content and Intellectual Property
6.1 Your Content
You retain all ownership rights to content you create, post, or share through the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide and improve the Service.
6.2 Our Intellectual Property
The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by SocialStar or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.
6.3 AI-Generated Content
Content generated by our AI features is provided as suggestions only. You are solely responsible for reviewing, editing, and approving all content before publishing. We do not guarantee the accuracy, quality, or suitability of AI-generated content.
7. Subscription and Payment
7.1 Fees
Access to certain features may require payment of subscription fees. All fees are stated in U.S. dollars unless otherwise specified and are non-refundable except as required by law.
7.2 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually). By subscribing, you authorize us to charge your payment method automatically until you cancel.
7.3 Price Changes
We reserve the right to change our pricing at any time. We will provide notice of price changes at least 30 days in advance. Continued use of the Service after a price change constitutes acceptance of the new pricing.
7.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial billing periods.
7.5 Free Trials
We may offer free trials for certain subscription plans. If you do not cancel before the trial period ends, you will be automatically charged for the subscription. Free trial eligibility may be limited to one per user or organization.
8. Third-Party Services
The Service integrates with third-party platforms and services (social media networks, AI services, web scraping tools). We are not responsible for:
- The availability, accuracy, or reliability of third-party services
- Changes to third-party APIs or policies that affect our Service
- Data breaches or security issues on third-party platforms
- Content, privacy practices, or terms of third-party services
Your use of third-party services is governed by their respective terms and policies.
9. Service Availability and Modifications
9.1 Availability
We strive to provide reliable service but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may experience downtime for maintenance, updates, or technical issues.
9.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice. We will not be liable for any modification, suspension, or discontinuance of the Service.
10. Data and Privacy

11. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALSTAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11.3 No Guarantee of Results
We do not guarantee any specific results from using the Service, including but not limited to increased followers, engagement, or business outcomes. Social media success depends on many factors beyond our control.
12. Indemnification
You agree to indemnify, defend, and hold harmless SocialStar, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your Content or any content you post through the Service
- Any misrepresentation made by you
13. Termination
13.1 Termination by You
You may terminate your account at any time by deleting it from your account settings or contacting us.
13.2 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Extended inactivity
- At our sole discretion
13.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though some information may be retained as described in our Privacy Policy. Sections that by their nature should survive termination will survive, including ownership provisions, disclaimers, and limitations of liability.
14. Export Controls
The Service may be subject to export control laws. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.
16. Dispute Resolution and Arbitration
16.1 Informal Resolution
Before filing a claim, you agree to contact us at info@growthlab.digital to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.
16.2 Binding Arbitration
If we cannot resolve the dispute informally, any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration will be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.
16.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR CLAIM SHALL BE CONDUCTED IN YOUR INDIVIDUAL CAPACITY AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.
16.4 Exceptions
Either party may seek injunctive or equitable relief in court to protect intellectual property rights.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SocialStar regarding the Service and supersede all prior agreements.
17.2 Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes become effective constitutes acceptance of the modified Terms.
17.3 Waiver and Severability
Our failure to enforce any provision of these Terms does not constitute a waiver. If any provision is found unenforceable, the remaining provisions will remain in effect.
17.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
17.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
17.6 Force Majeure
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network failures.
